1.The Term of Contract
Both parties abide by the terms of the contract. After one year of performance of the contract, there is no following violation (such as: uploading and selling illegal and shoddy products, infringing on the legitimate rights and interests of consumers, unable to provide effective services, etc.), the validity period of the contract will be automatically extended, and the contract will continue to be valid.

2.Rights and Obligation of Party A

2.1 Before entering seataoo, we will check whether the seller's personal information is consistent with the personal information provided. Our local colleagues will call the seller to verify their identity. After the entry review is successful, we will review the products listed by the seller to ensure that the products meet the requirements of the platform;;

2.2Party A uses the online store management system provided by Party B to establish an online store in the (e-commerce) online mall according to Party B's requirements, and after Party B's review, release and manage product information.
2.3Party A shall ensure that its product information in the (e-commerce) online mall is legal, true and accurate. Party A shall be responsible for resolving any disputes arising from problems with the product information provided by Party A; Party A shall be responsible for compensation if losses are caused to Party B.
2.4Party A is obliged to provide after-sale services for the products sold.
2.5Party A is obliged to deliver the goods sold within 48 hours. If the delivery period is exceeded, Party B has the right to pursue any responsibility against Party A. (If Party A is caused by force majeure factors, the delivery period can be extended through consultation with Party B).

Party A guarantees that the retail price of its products in (e-commerce) is not higher than the lowest price sold in the store, otherwise Party B has the right to refuse to publish or delete the product information.
3.Rights and Obligation of Party B
3.1、Party B is responsible for the construction, maintenance, operation and management of the online mall, and provides the technical services stipulated in the agreement for Party A to release commodity information and sell commodities in Party B's online mall.
3.2Party B is only responsible for providing Party A with the technical services stipulated in this agreement, and Party A is responsible for all matters related to the sale of goods (delivery, maintenance, quality assurance, return and exchange, etc.).

3.3Party B provides Party A with a stable second-level domain name store, is responsible for the overall promotion of the (e-commerce) mall, and improves the popularity of the mall; free maintenance and management of the online mall platform in the mall.
3.4Party B has the right to review the commodity information provided by Party A, and to provide commodity information that is not in compliance with laws and regulations or that Party B has reason to believe will have an adverse impact on Party B if released.

Party B has the right to request Party A to make changes, and also has the right to refuse to publish or delete the information.。
3.5Party B can assist Party A to provide the buyer with the delivery service of goods and ensure delivery time and service quality. If there is a dispute between Party A and the buyer due to problems with delivery time and services, Party B's local branch will assist in solving it; if the loss is caused by the quality of Party A's products, Party A is responsible for compensation.
3.6All the online payment generated by the buyer shall be delivered to Party B's platform uniformly, and Party B shall pay Party A in a cycle of 15 days according to the actual transaction situation.
4.Others
4.1This contract is an electronic contract, which will take effect from the day it is signed by both parties. Party A will become an alliance merchant of Party B and enjoy the double profits brought by promotion and sales.
4.2Party B has the right to terminate the contract for Party A who does not comply with the unconditional return of goods; if Party A violates national policies or regulatory authorities in the operation of Party B's online mall: regulations, Party B has the right to terminate the contract in advance; if Party A violates the provisions of this contract, Party B has the right to cancel Party A's right to use the second-level domain name.
4.3In order for the website to operate normally, Party B needs to stop and maintain the website on a regular or irregular basis; if the above situation affects the performance of Party B in this agreement, Party A understands. Party B shall try its best to minimize the adverse effects caused thereby.
4.4If the party suffering from a force majeure event can temporarily suspend the performance of the obligations under this agreement until the impact of the force majeure event is eliminated, and it does not need to bear the responsibility for breach of contract. However, every effort should be made to overcome the incident and mitigate its negative effects.
